General Terms of Sale

This English version is provided for convenience only; in case of any discrepancy, the French version shall prevail.
1. Purpose
These General Terms of Sale (hereinafter the "Terms of Sale") set out the conditions under which SAVEPNP, a French SAS with share capital of €1,000, registered with the Créteil Trade and Companies Register under No. 912 784 030, with its registered office at 25 rue Camille Blanc, 94400 Vitry-sur-Seine (hereinafter the "Provider"), supplies the Seogard Cloud service (hereinafter the "Service") to its customers (hereinafter the "Client"). Information about the Provider is set out in the legal notice.
Any subscription to the Cloud Service implies unreserved acceptance of these Terms of Sale, the Terms of Use and the Privacy Policy.
The Service is exclusively intended for professionals within the meaning of the preliminary article of the French Consumer Code. By subscribing, the Client represents and warrants that they are acting within the scope of their professional activity.
2. Description of the Service
The Seogard Cloud Service includes:
- Hosting and maintenance of the SEO monitoring infrastructure
- Crawling and automated analysis of the Client's web pages
- Instant alerts and the real-time dashboard
- Ongoing updates and improvements to the Service
- Technical support by email
3. Pricing
3.1 Billing model
The Cloud Service is billed on a usage basis, at a rate of €0.01 excl. VAT per monitored page per month.
Applicable VAT: 20% (digital services, France). The rate incl. VAT is therefore €0,0120 per monitored page per month.
Only a page that is actually crawled (analyzed by the Service) during the billing period is counted. Pages discovered but not crawled are not billed.
3.2 Page counting
The number of billed pages corresponds to the number of distinct pages analyzed at least once during the monthly billing period. Re-running a crawl on the same pages within the same month incurs no additional cost.
Counting is performed automatically by the Service based on each page's lastCheckedAt technical field. The Client can view the number of billed pages at any time in their billing area.
3.3 Calculation examples

3.4 Price revision
The Provider reserves the right to change its prices. Any price change will be notified by email at least 30 days before it takes effect. The new price will apply from the billing period following the expiry of this notice period.
If the Client does not accept the new price, they may terminate their subscription before the change takes effect, with no fee or penalty.
3.5 Trial period
A free 14-day trial is offered to every new Client, with no commitment and no credit card. During this period, the Service is accessible with no feature restrictions. At the end of the trial period, the Client must activate billing to continue using the Service.
If the Client activates billing before the end of the trial period, the remaining trial days are retained and the first invoice will only be issued once these remaining days have expired.
At the end of the trial period, if billing has not been activated, access to crawls is suspended. The Client's data is retained for 90 days, after which it may be deleted.
4. Billing and payment
4.1 Terms
Billing is monthly. Payment is made by credit card via the secure Stripe payment platform (PCI-DSS Level 1 certified). Invoices are available in the Client area and sent by email.
4.2 Payment period
Payment is due upon receipt of the invoice. The charge is automatic at each monthly due date.
4.3 Late payment
In the event of late payment, and in accordance with Articles L.441-10 et seq. of the French Commercial Code:
- Late-payment penalties are due automatically, without any reminder being necessary, at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points, calculated on the VAT-inclusive amount still due, as from the day following the due date
- A fixed indemnity for recovery costs of €40 is due automatically (Article D.441-5 of the French Commercial Code)
- If actual recovery costs exceed this fixed amount, the Provider reserves the right to claim additional compensation upon supporting documentation
4.4 Suspension for non-payment
In the event of payment failure, and after notification by email:
- Suspension of access to crawls after 7 days from the unpaid due date
- Suspension of the entire Service after 30 days of non-payment
- Termination of the account and deletion of data after 90 days of non-payment, following a formal notice by email left unanswered for 15 days
Amounts due remain payable even after the suspension or termination of the account.
5. Term and termination
5.1 Term
The subscription is entered into with no commitment, for an indefinite term, with monthly billing.
5.2 Termination by the Client
The Client may terminate their subscription at any time from their billing area (Stripe portal) or by contacting [email protected]. Termination takes effect at the end of the current billing period. No pro-rata refund is made for the current period.
5.3 Termination by the Provider
The Provider reserves the right to terminate the subscription, following a formal notice by email left unanswered for 15 days, in the event of:
- Breach of the General Terms of Use
- Abusive or fraudulent use of the Service
- Persistent non-payment (see Article 4.4)
6. Data and portability
In the event of termination, the Client has a period of 30 days to export their data via the Service's API. After this period, the data will be deleted in accordance with the Privacy Policy.
7. Warranties and liability
The Provider undertakes to implement the means necessary to ensure the availability and quality of the Service (obligation of means). However, the Provider does not guarantee:
- The completeness or accuracy of the SEO analyses produced
- Any improvement in the Client's SEO rankings
- Uninterrupted availability of the Service
The Provider's liability is limited to the total amount paid by the Client over the last 12 months preceding the triggering event. This limitation does not apply in the event of gross negligence or willful misconduct by the Provider, nor in cases where the law prohibits such a limitation.
Indirect damages (loss of revenue, loss of traffic, loss of data, reputational harm) are excluded from any compensation, to the extent permitted by law.
8. Force majeure
The Provider cannot be held liable for the non-performance of its obligations in the event of force majeure as defined by Article 1218 of the French Civil Code, including in particular: natural disaster, pandemic, war, act of terrorism, host failure, major cyberattack, widespread power outage, government or judicial decision.
9. Governing law and jurisdiction
These Terms of Sale are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution for 30 days. Failing that, any dispute will be submitted to the exclusive jurisdiction of the courts of Créteil.
10. Severability
If any clause of these Terms of Sale is declared void or unenforceable by a competent court, the remaining clauses retain their full effect.
